On September 24, 2008, Beazer Homes USA, Inc. announced it reached a settlement with the SEC concerning “matters that were the subject of the previous independent investigation by the Company's Audit Committee.” The settlement, in which Beazer Homes did not admit or deny any wrongdoing, required Beazer Homes to consent to a cease and desist order. The cease and desist order requires Beazer Homes to comply with “certain provisions of the federal securities laws and regulations”. Under this settlement, Beazer Homes did not have to pay a fine, and the SEC will officially conclude its investigation regarding the “matters that were the subject of the previous independent investigation by the Company's Audit Committee.” Beazer Homes is also currently under investigation for these matters by the US Attorney’s Office in the Western District of North Carolina, along with other state and federal agencies. Beazer Homes is complying fully with these investigations as well.
